For investors and entrepreneurs aiming to leverage Northern Cyprus as an international base, the TRNC offers two special types of corporate vehicles: International Business Company (IBCs) and Free Zone Companies. These entities are geared toward foreign ownership and offshore or export-oriented activities, providing significant tax advantages and flexibility. Below, we explain who can open these companies, their benefits, how and where to register, and their operating rules and restrictions.

What is an IBC (International Business Company)?

An IBC in TRNC is essentially an offshore company – a legal entity incorporated under TRNC law that is restricted to doing business outside of TRNC. It’s similar to “international business companies” in other jurisdictions.

👤 Who Can Open an IBC

Only foreign individuals or foreign-controlled entities can set up an IBC. In fact, all shareholders must be non-TRNC residents of foreign nationality. (The only exception: a TRNC citizen who lives abroad permanently can be a shareholder.) The idea is that no local persons are involved so that the company is purely an international vehicle. You need a minimum of two shareholders to form an IBC (same as normal company). Directors 👨‍💼 can be foreigners as well.

💰 Minimum Capital

The required minimum share capital for an IBC is €20,000. This must be deposited in a TRNC bank before incorporation (similar to an LTD’s capital deposit) and a receipt is submitted with the application. Once the IBC is incorporated, the funds are released for the company’s use. €20k is relatively low, making IBCs accessible to small businesses as well.

📝 Application Process

To register an IBC, you typically go through a local law firm or corporate service provider. The application is made to the Ministry of Economy (rather than just the Registrar) because IBCs require ministerial approval. You submit the Memorandum and Articles of Association (stating the company’s international nature), the bank deposit receipt for €20k, details of shareholders/directors (🛂 passports, 👮‍♂️ police clearances just like an LTD), and a declaration that the company will abide by IBC regulations. The process takes about 3–4 weeks for approval, slightly faster than a local company since it’s a known procedure.

Key Benefits of IBC


• 💸 Ultra Low Tax 

IBCs pay only 1% corporate tax on their net profits. This was previously 2.5% but has been reduced to 1%, making it extremely attractive. For example, a consulting IBC earning €200,000 profit would pay just €2,000 in tax annually.

• 📤 No Tax on Dividends

Distributions of profit (dividends to the foreign shareholders) are not taxed in TRNC. So you can repatriate profits freely without local withholding.

• 💱 No Currency Controls

IBCs are allowed to transact in any currency and transfer money abroad without restrictions. (They must, of course, comply with international anti-money-laundering laws, but TRNC imposes no extra exchange control.)

• 🔐 Asset Protection and Privacy

While not as secretive as some classic “offshore havens”, an IBC in TRNC still offers privacy. The ownership can be structured with nominee directors if desired, and TRNC is not automatically reporting the company’s finances to foreign authorities.

• 🔄 Flexibility in Operations

An IBC can engage in a wide range of international business activities – trading, consulting, online business, etc. – as long as it does not regularly trade within TRNC. Occasional incidental local transactions are generally avoided to maintain its status.

• ⚖️ Use of TRNC’s Banking and Legal System

The company is based in TRNC, so it can hold bank accounts in North Cyprus or abroad. It operates under the legal system of TRNC, which is based on English common law principles for company law, offering a stable legal framework.

Annual Obligations for IBCs

• 📅 Annual License Fee

There is an annual license fee of €5,000 for IBCs, payable each year in January (or on anniversary of incorporation for first payment). This fee is essentially the price for enjoying the offshore status.

•📍 Registered Office 

IBCs must maintain a registered office in TRNC and a local agent (usually the law firm).

• 👥 Local Employment Requirement

If an IBC sets up a physical office in TRNC or hires staff locally, it is required to employ at least one Turkish Cypriot (TRNC citizen) among its employees. This rule ensures some local employment benefit if the IBC has actual presence. Many IBCs, however, have no local office or just a token presence.

• 📚 Accounting

IBCs need to keep books and likely submit annual financial statements to show that their income is offshore (for the 1% tax calculation). Audits might not be mandatory for very small companies, but keeping clear records is important to prove compliance (that you aren’t sneaking local income in).

• 🚫 No Local Income

They cannot generate income from inside TRNC, otherwise standard tax rates would apply on that portion and could jeopardize the IBC status.
